These Terms of Service ("Terms") govern your access to and use of the website located at forverdict.com, any associated subdomains, and any software products or services offered by ForVerdict, LLC ("ForVerdict," "we," "our," or "us") (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Acceptance of Terms

By accessing the Platform, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. If you are accessing the Platform on behalf of a law firm or other organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

ForVerdict provides litigation intelligence software and services designed for trial attorneys and litigation firms, including but not limited to:

StrikeList AI: AI-assisted jury selection and voir dire management
Citadel: Privacy-first AI discovery review and case analysis
Sherlock: Witness and party intelligence research tools
Darrow: AI-powered legal research and case strategy tools
Draper OS: AI-assisted marketing and intake systems for litigation firms

Access to specific products is subject to separate subscription agreements, licensing terms, and pricing as presented at the time of purchase or enrollment.

3. Account Registration and Access

Certain features of the Platform require account registration. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Platform in any manner that violates applicable federal, state, or local laws or regulations
Use the Platform to harass, threaten, or harm any individual
Attempt to gain unauthorized access to any portion of the Platform or any other system connected to it
Use automated tools, bots, or scrapers to access or collect data from the Platform without our express written consent
Reverse engineer, decompile, or disassemble any software component of the Platform
Use the Platform to transmit any unsolicited commercial communications in violation of applicable law
Upload or transmit any content that infringes the intellectual property rights of any third party
Use the Platform in any way that could damage, disable, overburden, or impair our systems

5. Professional Responsibility and Legal Disclaimer

ForVerdict's products and services are tools designed to assist licensed attorneys in their practice. They do not constitute legal advice and are not a substitute for the independent professional judgment of a licensed attorney.

You are solely responsible for ensuring that your use of ForVerdict's products complies with all applicable rules of professional conduct, including those governing attorney competence, confidentiality, supervision of technology, and client communication. ForVerdict makes no representation that use of its products satisfies any particular ethical obligation.

AI-generated outputs, research results, juror assessments, and other content produced by ForVerdict's products are provided for informational purposes only. You are responsible for independently verifying any information before relying on it in a legal proceeding or in advising a client.

6. Intellectual Property

The Platform and all content, features, and functionality (including but not limited to software, text, graphics, logos, and design elements) are owned by ForVerdict, LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for your internal business purposes in accordance with these Terms. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any portion of the Platform without our express written consent.

7. User Content

You retain ownership of any content, data, or materials you upload or submit to the Platform ("User Content"). By submitting User Content, you grant ForVerdict a limited, non-exclusive license to process and use that content solely to provide the services you have requested.

You represent and warrant that you have all rights necessary to submit User Content and that doing so does not violate any third-party rights or applicable law, including attorney-client privilege and confidentiality obligations.

8. Data Privacy and Confidentiality

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. For products that process client data, we maintain appropriate technical and organizational safeguards. Please review the specific data processing terms applicable to each product.

9. Fees and Payment

Access to certain ForVerdict products requires payment of subscription fees as described on the applicable product page or in a separate order form. All fees are non-refundable unless otherwise stated in writing. We reserve the right to modify pricing with reasonable advance notice to existing subscribers.

10. Disclaimers

THE PLATFORM AND ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FORVERDICT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

FORVERDICT DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT, RESEARCH RESULTS, OR JUROR ASSESSMENTS PROVIDED THROUGH THE PLATFORM.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FORVERDICT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF FORVERDICT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL FORVERDICT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO FORVERDICT IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless ForVerdict, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any User Content you submit.

13. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Platform will immediately cease.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Michigan, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Michigan. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms.

16. Miscellaneous

These Terms, together with our Privacy Policy and any applicable product-specific agreements, constitute the entire agreement between you and ForVerdict regarding the Platform. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
